本文首先整理和回顾了几个代表性的前人关于发展中国家对外直接投资的相关理论，FDI理论是在传统国际贸易和国际分工理论基础上发展起来的。FDI理论的主流是西方发达国家跨公司理论，发展中国家跨国公司理论也逐渐成为FDI理论中的不可或缺的一部分。然后本文对长期以来，我国企业海外直接投资的主要特点进行了概述，系统地呈现了中国对外直接投资的总体轮廓，并指出了当前中国对外直接投资所存在的问题.在总体把握中国对外直接投资的基础上，深究产生这些差异的原因。最后对本文进行比较精炼的总结，指出了中国对外直接投资存在的问题.
在此基础上，从两个不同角度提出了提高中国对外直接投资水平的若干针对性建议:政府要在政策制定、市场服务、技术进步、制度保障和监管调控等方面对企业的对外直接投资行为给予支持;企业作为投资主体要在树立全球竞争意识、完善公司治理结构和人才战略等方面不断提高，以提高自身的竟争力.
