Both parties agree to use their best effort to resolve all disputes between them with respect to the application or interpretation of any terms hereof through amicable negotiation. If a dispute cannot be resolved in this manner to the satisfaction of any party within 90 days after the date of the notification of such dispute from one party to the other, the dispute or difference arising out of or in connection with this Contract shall be referred to and determined by arbitration at the China International Economic & Trade Arbitration Commission (the “CIETAC”) in accordance with its Domestic Arbitration Rules as in force at the date of this Contract. The place of arbitration shall be in Shanghai, China at the CIETAC. There shall be only one arbitrator to be appointed by the CIETAC. The award shall be accepted as final and binding upon both parties. The arbitration fees shall be borne by the losing party unless otherwise awarded. Arbitration shall be conducted in English.
