求教此段英文应如何翻译。INDEMNIFICATION. Each party shall indemnify and hold harmless the other party, its officers, directors, affiliates, successors and assigns from any and all actions, claims and proceedings from time to time made against the indemnified party as a result of the indemnifying party’s: (i) failure to follow any applicable rules; or (ii) negligent acts or omissions of the indemnifying party, its officers, directors, employees or agents. This section shall survive the termination of this Agreement.

免责条款：当合同一方有如下行为时，另外一方和另一方的职员、董事、子公司、继任者和董事免除任何行为、主张和诉讼的责任：（i）不能遵守适用规则；（ii）责任方或者责任方的职员、董事、雇员或者代理人的过失行为或者不作为。这一条款不因合同的终止而失效。
