近年来，中国并购市场迸发出巨大的热情，并购特别是跨国并购已经成为我国企业扩大生产规模，获得先进技术和资源的重要手段。但并购并不是万能的，它也有自己的缺陷，也存在大量的风险。综观我国近几年的企业并购活动，并购完成后达到并购目的的成功案例并不多，这除了与我国基本的国情有关外，主要原因还在于从事并购活动的企业在并购前没有充分的估计并购活动的风险，企业的领导者往往只看到了并购给企业带来的巨大利益，却没有看到或忽略了并购的风险。
本文在参考了大量文献与收集了相关数据后，采用定性分析的方法，简要分析了并购风险产生的渠道。在此基础上，本文对企业并购过程中可能存在的各种财务风险进行了分析，最后，本文重点论述了并购过程中财务风险的防范与对策。
