摘 要：在企业并购中，由于信息的不对称，企业并购的交易双方很可能对同一项资产的估价有很大差异，双方很可能因资产价格问题争执不休，最终导致交易无法完成。因此，在资产和资产权益的交易中，对资产价值的评估是至关重要的，它起着一个媒介的作用。本文的研究内容是将重点放在对目标企业进行资产评估与估价这一部分上。选取这一部分进行研究出于以下几点考虑。（1）在前期的准备阶段多是战略层面上的考虑，不同的公司所处的外部环境不同，其战略思想会有区别，其共性与行业等外部环境紧密相关，研究要更多的考虑外部环境因素；（2）后期整合阶段与公司具体内部环境紧密相关，不同的企业由于文化不同，领导人风格不同，整合的途径也千差万别，研究更多的要考虑内部具体情况；（3）相比较前期与后期阶段，并购的谈判阶段具有更多的客观性，对内部外部环境的依赖比另外两个阶段要少，所以本文选择这一部分进行研究，取得的结果相对而言会具有更好的普遍意义。
