甲方委托乙方设计开发闸阀模具六副，经双方平等协商，一致达成如下协议：
2. 资料的提供
甲方须提供详细的技术参数和官方的适用于本闸阀的的检测标准给乙方，乙方按照甲方提供的资料和技术要求进行图纸设计。
3. 模具开发前期费用的支付：
乙方提供图纸给给甲方确认，甲方确认签字后，须立即支付给乙方50%的模具开发费用，即32000.00元（叁万贰仟元整）。
4. 模具开发及样品生产时间：
乙方收到甲方模具款后，30天内开发出模具并制造出样品待甲方验收。
5. 模具余款支付：
甲方须在乙方样品完成后支付20%的模具款给乙方，待收到甲方款项后乙方须交付全套样品给甲方检测。
6. 样品合格原则：
乙方制造的样品与甲方已经签字确认的图纸一致时，甲方不得以任何其他理由拒收。
7. 版权：
甲方对本模具及版权拥有完全所有权，乙方不得为第三方使用及透漏相关资料。
7. 每份订单最小订单量：
每张订单最小金额须至少达到$80.000（捌万美金）
8. 模具费返还条款
如甲方在3年内，最小订单总额达到$400.000(肆拾万美金)，且每笔订单金额不少于$80.000（捌万美金），乙方承担50%的模具开发费用。在订单额确认当月，乙方须返20%的模具费给甲方。该费用直接从甲方须支付的货款中扣除。如甲方在3年内未达到此数量，或者中途中止合作，乙方不返还任何模具开发费用。
9. 争议的解决办法
1) 若有未尽事宜，须双方另行协商解决，作出补充规定，补充规定与本协议具有同等效力。
2) 双方在本协议履行期间因本协议发生纠纷，应先协商解决。协商、调解不成或双方不愿意协商的，双方同意提交乙方所在地的法院仲裁。
