第二条 协议期限

第三条 授权销售区域
3.1乙方应在甲方指定的销售区域内从事本协议项下的一切商业活动：

第四条 经营场所
4.1乙方开设的所有店/柜须经甲方书面批准后设立。乙方必须维护甲方店面统一标准形象，所有店/柜须按甲方要求装修（包括新店装修、老店改造和老店局部改造）；如甲方有指定的施工队和供货商，则由指定的施工队和供货商负责乙方店/柜的统一装修、展具和道具供货，费用由乙方负担；乙方应保持店/柜装修设施完好，不得随意拆换，如有破损，乙方须负责及时修复；甲方根据经营及品牌形象需要调整对店/柜装修的要求时，乙方须积极按甲方要求对店/柜重新装修，费用由乙方承担。
4.2如乙方在经营过程中发生经营场所不符合协议要求的情况，或因经营场所、营业执照、资金等问题导致中断经营或未经甲方许可擅自停止营业的（不可抗力除外），视乙方违约。
4.3乙方店/柜数量减少的或因不可抗力暂停营业的，自数量减少情况发生之日起或自导致暂停营业的不可抗力因素消除之日起二个月内仍未开设新店恢复数量或恢复营业的，视为乙方违约。
4.4乙方未经甲方同意不得转让或变相转让专卖店的经营权或使用权，不得将其转租、承包给第三方，也不得以专卖店场地或经营权与第三方联营或联销；乙方擅自实施前述行为的，均为无效。
