Notwithstanding anything else contained in this Contract, Contractor shall be responsible for, and liable to, and shall indemnify, defend, and hold harmless PDOC indemnified person from and against any and all claims or liability for claims, demands, causes or causes of action of whatever kind or nature based on any actual or alleged failure by Contractor or Subcontractors to make timely tax payments or any actual or alleged failure by Contgractor or Subcontractors to comply with applicable reporting , return, or other procedural requirements with repect to tax payments. this indemnity shall include without limitation all costs, penalties, awards, damages and reasonable expenses incurred by or assessed against PDOC Indemnified Persons and associated with such claims, demands, and causes of action.
