5.1 Exchange of Confidential Information. From time to time during the performance of this JV, the Parties may deem it necessary to provide each other with Confidential Information. The Parties agree that during the term of this JV and for a period of two (2) years from the expiration or termination of this JV, a receiving party shall: (i) not disclose Confidential Information to any third party or use it for any purpose other than that contemplated by this JV; (ii) restrict disclosure of Confidential Information to only those employees, agents or consultants who must be directly involved with the Confidential Information for the purpose of fulfilling its obligations under this JV and who are bound by confidentiality terms (iii) not reverse engineer, de-compile or disassemble any Confidential Information; (iv) use the same degree of care as for its own information of like importance, but at least use reasonable care, in safeguarding against disclosure of Confidential Information;

5.1机密资料的交流。不时期间的表现，这一合资企业，双方当事人可能认为有必要提供对方的机密资料。各方同意在本合资和今后一个时期的两（ 2 ）年，自期满或终止本合资企业，接收方应： （一）不得泄露机密资料给任何第三方，或利用它作任何目的以外的目的所考虑这个合资企业; （二）限制机密情报的泄露，只有那些员工，代理人或顾问的人必须直接参与与机密资料，以便履行自己的义务，根据这个合资企业的人都受保密条款（三）不逆向工程，反向编译或拆解任何机密资料; （四）使用相同程度的照顾，为自己的信息的重要性一样，但至少使用合理的谨慎措施，在防范机密资料的披露;和（五）及时通知泄露党一经发现任何未经授权的使用或披露机密资料，并采取合理的步骤，以重新拥有属于机密信息，并防止再有未经授权的行为或其他违反保密规定。
