Supplier shall indemnify, defend, and hold harmless ABC, its affiliates, directors, officers, employees and agents from and against any and all suits, claims, demands, losses, damages, costs and expenses of any nature whatsoever including, without limitation, litigation expenses, reasonable attorney’s fees and liabilities incurred in connection therewith, arising out of any third party claim that would prevent ABC's use of the products as specified herein. Such third party claims may include, without limitation, claims of infringement of any patent, copyright, trademark or trade secret or unfair competition rights of any third party. ABC agrees, at Supplier’s expense, to (i) promptly notify Supplier in writing of any suit or any claim of infringement; (ii) cooperate with Supplier in Supplier’s defense of any such claim; and (iii) not settle any claim without Supplier’s prior written consent, such consent not to be unreasonably withheld.

如果上述方面所涉及的侵权赔偿按照要求已经执行，根据自己的选择和损失，供应商应有权选择：（1）令ABC公司有权继续使用该产品 （2）更换或修改产品，使此产品成为非侵权产品，但是，这种更换或改装的产品必须提供与被更换产品同等或更强的功能。当供应商用尽了所有商
