This agreement will be interpreted and enforced in accordance with the law of Ohil to the ewtent not preempted by federal law .the Court of Common Pleas,Mesina County,Ohio,and the U.S.district Court for the Nortnern District of Ohio,eastern division,shall be the exclusive forum for any lawsuit commenced by any party to enforce the other party's obligations under this agreement.
In the event that any lawsuit is commenced by either party to enforce the provisions of this agreement,the party who prevails in the lawsuit or on any claim therein will be entitled to recover from the other arty,in addition to any damages,such reasonable lawyer fees and other expenses incurred in connection therewith as the court may determine.
