摘要 表见代理是民商法上的一个重要理论问题，因其所涉及的民法上权利外观理论的一般性和复杂性，而令对这一问题的讨论热烈而持久。表见代理是随着市场经济发展而出现的，在社会经济生活和经济交往中发挥着重要作用。我国虽然在《合同法》第49条中给出了表见代理的定义，但对表见代理的规定比较原则、笼统，在很大程度上已不能适应当前日益复杂的社会及司法实践的需要。因此，有必要对表见代理进行深入探讨，以期完善代理制度，便利社会生活。
