4. Representations and warranties
The seller represents and warrants to the company as follows:
(a) It is the sole and legal owner of the repurchased shares. The repurchased shares are free from all claims, liens, charges, pledges, mortgages, trust, and other encumbrances.
(b) It has taken all the necessary corporate actions, and has all the necessary authorization and capacity, to enter into and to perform its obligations under this agreement. This agreement constitutes a legal, valid and blinding obligation of the seller, enforceable against it in accordance with its terms.

5.1 Notice: Except as may be otherwise provided herein, all notices, request, waivers and other communications made pursuant to this agreement shall be in writing and shall be conclusively deemed to have been duly given (1) when hand delivered to the other party; (2) when sent by facsimile at the address and number set forth below upon successf
